Terms of Service
OVERVIEW
Welcome to OPUTE Global.
OputeGlobal.com is the official international sales platform for OPUTE. HUAKE LIMITED, Hong Kong, has been appointed by OPUTE as its exclusive international distributor and manages international sales and commercial operations through OputeGlobal.com.
In these Terms of Service, the terms “we,” “us,” and “our” refer to HUAKE LIMITED in connection with the international commercial activities conducted through OputeGlobal.com, unless the context otherwise requires.
OPUTE products are developed, manufactured, quality-controlled, and technically supported by OPUTE and its manufacturing organization in China.
This website is powered by Shopify, which provides the e-commerce infrastructure that enables us to offer information, products, tools, ordering functionality, and related services to you (collectively, the “Services”).
These Terms of Service, together with all policies referenced herein, describe your rights and responsibilities when using the Services.
By visiting, accessing, interacting with, or purchasing through OputeGlobal.com, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with these Terms, you should not use the Services.
SECTION 1 - ACCESS AND ACCOUNT
By using the Services, you represent that you are at least the age of majority in your jurisdiction or that you are legally authorized to act on behalf of the business or organization that you represent.
You may be required to provide information including your name, company name, email address, billing details, shipping information, and payment information.
You represent and warrant that all information you provide is accurate, current, and complete.
You are responsible for maintaining the confidentiality and security of your account credentials and for all activities conducted through your account.
SECTION 2 - OUR PRODUCTS
We make reasonable efforts to provide accurate descriptions, specifications, photographs, technical information, and other product information.
However, product images, packaging, colors, appearance, or other visual characteristics may differ slightly from those displayed on your device or from previous production batches.
Product specifications, formulations, packaging, and availability may be updated or improved from time to time.
We reserve the right to modify or discontinue products and to limit quantities, geographic availability, or sales to particular customers or jurisdictions where appropriate.
Technical Information
Technical data, recommendations, application information, product descriptions, Technical Data Sheets (TDS), Safety Data Sheets (SDS), and other technical materials are provided based on information and testing available at the time of publication.
Because actual application conditions vary, customers are responsible for evaluating whether a product is suitable for their intended application.
Unless otherwise expressly agreed in writing, product recommendations do not replace the customer's own testing, validation, engineering assessment, or regulatory evaluation.
Customers should review all applicable technical and safety documentation before handling or using products.
SECTION 3 - ORDERS
When you submit an order, you are making an offer to purchase.
We reserve the right to accept, reject, modify, or cancel an order where reasonably necessary, including in cases involving:
- Product availability
- Pricing or data errors
- Payment issues
- Shipping restrictions
- Regulatory restrictions
- Suspected fraud
- Export or import restrictions
- Other legitimate commercial reasons
An order becomes binding once it has been accepted and payment arrangements have been confirmed.
Please review your order carefully before submission.
If changes or cancellations are requested after an order has been accepted, we will make reasonable efforts to accommodate the request, but cannot guarantee that modification or cancellation will still be possible.
Purchases are subject to our Return & Refund Policy.
B2B and Commercial Orders
OputeGlobal.com serves both individual customers and commercial customers.
For B2B transactions, bulk purchases, customized products, OEM/ODM projects, distributor orders, or project-based orders, additional terms may be provided through quotations, pro forma invoices, purchase orders, technical agreements, or separate commercial contracts.
Where such separately agreed written terms conflict with these Terms of Service, the separately agreed commercial terms will prevail to the extent of that conflict.

Prices, discounts, quotations, and promotions may change without prior notice.
Unless expressly stated otherwise, prices displayed on the website do not include:
- Shipping charges

- Other charges imposed by governmental authorities or third parties
The final amount payable will be shown during checkout or specified in the applicable quotation or commercial documentation.
You agree to provide accurate and complete billing and payment information.
You represent that you are authorized to use the payment method provided for the transaction.

Applicable shipping terms, transfer of risk, delivery terms, and responsibilities may vary depending on the order and shipping method.
For commercial or B2B orders, the applicable quotation, pro forma invoice, purchase agreement, or agreed Incoterms® rule, where specified, will govern delivery and transfer of risk.
Customers are responsible for ensuring that products may lawfully be imported, stored, handled, and used in the destination country unless otherwise agreed.
SECTION 6 - INTELLECTUAL PROPERTY
The OPUTE name, trademarks, logos, product names, technical materials, product images, designs, and related intellectual property are owned by OPUTE, its affiliated entities, or applicable licensors, unless otherwise stated.

We may introduce additional features, tools, or resources from time to time, and such features will also form part of the Services.
SECTION 8 - THIRD-PARTY LINKS
The Services may contain links to third-party websites, resources, or services.
We are not responsible for the accuracy, security, availability, practices, or content of third-party websites.
Your use of third-party websites and services is at your own discretion and subject to their applicable terms and policies.
SECTION 9 - RELATIONSHIP WITH SHOPIFY
OputeGlobal.com is powered by Shopify, which enables us to provide the Services.
However, Shopify is not the seller or manufacturer of products purchased through OputeGlobal.com.

Shopify is not responsible for product performance, delivery, technical support, warranty issues, refunds, losses, or damages arising from products purchased through OputeGlobal.com.
SECTION 10 - PRIVACY POLICY
Personal information collected through the Services is handled in accordance with our Privacy Policy.
Because OputeGlobal.com is hosted by Shopify, Shopify may also collect and process certain information necessary to provide and improve its services.

We may restrict or block automated access where necessary to protect the Services, customers, intellectual property, data, or system security.
SECTION 15 - PRODUCT USE AND CUSTOMER RESPONSIBILITY

- Following recommended storage and handling conditions
- Ensuring compliance with applicable laws and industry requirements
- Ensuring that personnel handling the product are appropriately trained

We may restrict, suspend, or terminate access to the Services where reasonably necessary, including for violations of these Terms, unlawful activity, security risks, or fraud.
Obligations and provisions that by their nature should survive termination will remain in effect.
SECTION 17 - DISCLAIMER OF WARRANTIES
Except where expressly stated in writing or required by applicable law, the Services are provided on an “as is” and “as available” basis.
Product warranties, where applicable, are subject to the relevant product documentation, quotation, contract, or written warranty terms.
We do not warrant that the website will always be uninterrupted, error-free, or completely secure.
Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded under applicable law.
SECTION 18 - LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, OPUTE Global, HUAKE LIMITED, OPUTE, their respective affiliates, directors, employees, agents, contractors, licensors, and service providers will not be liable for indirect, incidental, punitive, special, or consequential damages, including loss of profits, revenue, production, business opportunities, data, or goodwill, arising from use of the Services or products.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
For commercial transactions governed by a separate quotation, sales agreement, technical agreement, or contract, any separately agreed limitation of liability will apply.
SECTION 19 - INDEMNIFICATION
To the extent permitted by law, you agree to indemnify and hold harmless HUAKE LIMITED, OPUTE, Shopify, and their respective affiliates, directors, officers, employees, contractors, licensors, and service providers from third-party claims resulting from:
- Your breach of these Terms
- Your violation of applicable law
- Your infringement of third-party rights

- Your improper handling or unauthorized use of products
SECTION 20 - SEVERABILITY
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.
The remaining provisions will remain valid and enforceable.
SECTION 21 - WAIVER AND ENTIRE AGREEMENT
Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
These Terms, together with applicable policies and any other terms expressly incorporated by reference, constitute the agreement governing your use of the Services.
For transactions subject to separately negotiated commercial agreements, those agreements will take precedence to the extent expressly stated.
SECTION 22 - ASSIGNMENT
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign or transfer our rights and obligations where reasonably necessary as part of corporate restructuring, business transfers, or other legitimate business activities, subject to applicable law.
SECTION 23 - GOVERNING LAW
These Terms of Service and transactions conducted through OputeGlobal.com shall, unless otherwise agreed in writing or required by mandatory applicable law, be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
For B2B transactions governed by a separate quotation, purchase agreement, distribution agreement, or other contract, the governing-law and dispute-resolution provisions in that agreement will prevail.
Nothing in this section limits any mandatory rights available to consumers under applicable consumer-protection law.
SECTION 24 - CHANGES TO THESE TERMS
We may update these Terms of Service from time to time.
The latest version will be available on this page.
Where required by applicable law, material changes will be notified appropriately.
